1. Introductory Provisions

1.1. These terms govern the use of the NCM Hippocampus software (hereinafter "the Software"), developed by OpenTechLab Jablonec nad Nisou (hereinafter "the Provider").

1.2. The Software is currently in the Beta testing phase. Its primary purpose is to validate the functionality of neuromorphic memory technology in a real-world environment.

1.3. Age restriction: The Software is intended for persons aged 18 and over. Persons under 18 may use the Software only under the supervision of a legal guardian.

2. Beta Version Nature and Warranty Disclaimer

2.1. The User acknowledges that the Software is experimental in nature. It is not finished and may contain bugs, inaccuracies, or cause system instability.

2.2. The Software is provided "as-is," without any warranty, express or implied. The Provider does not guarantee that the Software will operate continuously, error-free, or be compatible with specific hardware or operating system versions.

2.3. The Provider is not liable for:

  • Loss or corruption of data (including stored "memories" in the Software).
  • Content generated by language models (LLMs) to which the Software connects.
  • Any financial costs associated with using third-party APIs (e.g., token fees from OpenAI, Anthropic, Google).

2.4. The Provider excludes any liability for damages caused by using the Software to the maximum extent permitted by law.

3. Access and License

3.1. Access to the Beta version is granted by registration.

3.2. The Provider grants the User a non-exclusive, non-transferable, non-commercial, and free license for personal and testing use of the Software.

3.3. The Provider reserves the right to revoke access to the Beta version or terminate its operation at any time without prior notice.

3.4. Termination of Beta testing: In the event of terminating the Beta program, Users will be notified 3 days in advance.

3.5. The Provider reserves the right to terminate access for individual Users in case of breach of these terms, with immediate effect.

4. Data Security and API Keys

4.1. Local storage of keys: All credentials for AI models (API keys for OpenAI, Google, Anthropic, and other services) are stored exclusively locally on the User's device (e.g., in browser local storage or a configuration file on disk). These credentials are never sent to the Provider's (OpenTechLab) servers and are not collected or backed up by the Provider in any way.

4.2. Transmission security: Communication between the Software and AI model provider servers (OpenAI, Google, Anthropic) occurs directly from the User's device and is secured using standard SSL/TLS (HTTPS) encryption protocols. However, the Provider has no control over the security policies of these third parties.

4.3. Responsibility for keys: The User bears full and exclusive responsibility for the secure handling of their API keys and for securing their device against unauthorized access (e.g., malware). The Provider bears no responsibility for loss, theft, leakage, or misuse of the User's API keys, or for any damages caused thereby.

4.4. Sensitive data: Do not include in conversations:

  • Login credentials, passwords, or API keys for other services
  • Credit card numbers or banking information
  • Personal identifiers (social security numbers, passport numbers)
  • Medical records or confidential business information

Conversations may be reviewed by employees of third parties (OpenAI, Anthropic, Google) for debugging and service improvement purposes. The Provider has no control over the security policies of these third parties.

5. Usage Restrictions

The User agrees not to use the Software for:

6. Feedback

6.1. The purpose of Beta testing is to collect feedback. The User agrees that the Provider may freely use any ideas, bug reports, or improvement suggestions that the User provides during testing, without compensation.

7. Intellectual Property

7.1. Software: All rights to the Software, including source code, design, and documentation, remain the property of the Provider.

7.2. User data: Conversation content and memory traces ("memories") created by the User remain the property of the User.

7.3. Feedback: Ideas, suggestions, and bug reports provided by the User become the property of the Provider and may be freely used without claim to compensation.

8. Personal Data Protection (GDPR)

8.1. Data Controller: OpenTechLab Jablonec nad Nisou s.r.o., with registered office at B. Němcové 10, Jablonec nad Nisou, Laboratory II, JBX Palace, Palackého 41, Jablonec nad Nisou

8.2. Scope of processing:

  • Email address
  • Technical data
  • Usage metadata

8.3. Purpose of processing: Providing access to the Beta version, technical support, collecting feedback for development.

8.4. Legal basis: User consent (Article 6(1)(a) GDPR).

8.5. User rights: The User has the right to access data, rectification, erasure, restriction of processing, and data portability. Consent may be withdrawn at any time.

8.6. Retention period: Email and metadata will be retained for the duration of Beta testing + 30 days after its termination, unless the User requests earlier deletion.

9. Governing Law and Dispute Resolution

9.1. These terms are governed by the laws of the Czech Republic.

9.2. Any disputes shall be resolved before the competent court of the Czech Republic.

9.3. The User has the right to contact the supervisory authority - the Office for Personal Data Protection (www.uoou.cz).

9.4. Out-of-Court Dispute Resolution: Should a consumer dispute arise between us from a purchase agreement or a service agreement that cannot be resolved by mutual agreement, the consumer may submit a proposal for out-of-court resolution of such dispute to the designated alternative dispute resolution body, which is:

10. Final Provisions

10.1. By installing, registering for, or using the Software, the User expresses their full and unconditional consent to these terms.
